New PA Filing For Pennsylvania Business Owners | A Full Guide

With the drama unfolding for BOI, the last thing a business owner wants to see right now is a new “annual-filing.”

Though this new filing has been in the works for several years, I’ll unfold:

  • What it is
  • Who needs to file
  • How to file
 
On Jan. 1st, 2025 a New Filing was set forth for all Business Owners in the state of PA.
 
This motion was created by Governor Tom Wolf, in 2022. Titled Act 122, this replaces the previous report, the “decennial report” (the previous filing that was filed every 10 years) with a new yearly report aiming to improve Transparency & Accountability for businesses.
 
Sounds very similar to BOI, I know…
 
The main purpose of the filing is to maintain your business’s registration with the secretary of state.
 

This filing isn’t unique to Pennsylvania, all states have a reporting system similar to this new system being implemented by PA. Some states require far more information than others, along with higher filing fees, and penalties so thanks PA for not doing that…

The Information Needed To File

  • Your Business Name
  • Business/Office Address
  • Name of Governor (Member, Director, Partner, President, etc.)
  • Officer Name
  • Payment info for Filing Fee: $7 (waived for Non-Profit Organizations)

Who Needs to File the NEW PA Filing

All of the following business entities must file this new report (Both Domestic & Foreign Companies):

  • Business Corporations
  • Non-Profit Corporations
  • Limited Liability Companies
  • Limited Partnerships
  • Limited Liability General Partnerships
  • Professional Associations
  • Business Trusts
 

You’ll notice Sole-Proprietors aren’t on this list, if you haven’t filed for an LLC or registered your business through the Secretary of State then you won’t need to file this report. 

When is the PA Filing Due?

 

  • Business Corporations (Due between Jan. 1st – Jun. 30th)
  • Non-Profit Corporations (Due between Jan. 1st – Jun. 30th)
  • Limited Liability Companies (Due between Jan. 1st – Sept. 30th)
  • Limited Partnerships (Due between Jan. 1st – Dec. 30th)
  • Limited Liability General Partnerships (Due between Jan. 1st – Dec. 30th)
  • Professional Associations (Due between Jan. 1st – Dec. 30th)
  • Business Trusts (Due between Jan. 1st – Dec. 30th)
